Glad i sold all of it when the buyout annoucement came. I am also tempted to get back in.

they recieve no cash but their balance sheet is cleaned up by 150 million dollars of debt that goes away. i could not find interest rate on sedar but on some of their other stuff it is 10% so I

That's exactly what I was thinking... A huge write down on the debt of 150M... No way NYX would trade in the 1$ to 1.5$ afterwards... It's essentially issuing 40 million shares for a debt

not debt free but certainly with a much stronger balance sheet. Essentially a pp at 3.67 with no commission costs that all goes off their debt. a beautiful thing.

Fyi, william hill confirmed all nyx numbers
So the conversion at 3.67 is correct. The two things william hill disputed in their press release is that they never said they were going to vote against the deal and also the language around

If WH buys the shares and they own 30%+ of the company, it's almost guaranteed WH will buy the rest of the company, either immediately or within a year. At this price + the underlying business

So the way I understand it is william hill own approxmiatley 80 million pounds of preferred shares so given where the pound is trading against the cdn dollar etc, they would be issued approxmiately 40
