HO CHI MINH CITY, Vietnam, April 20 /CNW/ - Vietnam Growth Fund Limited("VGFL") and Vietnam Dragon Fund Limited ("VDFL") subscribed (the "Subscriptions") for 2,110,000 common shares ("Shares") and 8,000,000 Shares, respectively of Olympus Pacific Minerals Inc. ("Olympus") on a private placement basis on March 31, 2006. VGFL and VDFL are investment funds managed by Dragon Capital Group Limited and/or its affiliates, including Dragon Capital Markets Limited, Dragon Capital Management Limited and Enterprise Investment Management Limited (Dragon Capital Group Limited and its affiliates referred to as "Dragon Capital"). In addition, Dragon Capital exercised the 1,270,000 warrants of Olympus (the "Warrants") held through its affiliate Dragon Capital Markets Limited on January 10, 2006 resulting in the issuance of 1,270,000 Shares. Dragon Capital now holds on its own behalf, and on behalf of one or more investment funds managed by Dragon Capital, 64,262,013 Shares. Such 64,262,013 Shares represent approximately 39.15% of the issued and outstanding Shares. Of such 64,262,013 Shares, Dragon Capital has ownership of 200,000 Shares through its affiliate Dragon Capital Management Limited and 1,270,000 Shares through its affiliate Dragon Capital Markets Limited and exercises control or direction over an aggregate of 35,083,513 Shares owned by VGFL, an aggregate of 8,000,000 Shares owned by VDFL, and an aggregate of 19,708,500 Shares owned by Vietnam Enterprise Investments Limited.
