Cons AGX to distribute shares of subsidiary

Consolidated AGX Resources Corp. will complete a pro rata distribution to its shareholders of the shares of a newly formed wholly owned subsidiary, 0787522 B.C. Ltd., which will hold all of AGX's currently owned non-cash assets, consisting of its 40-per-cent working interest in certain mineral claims located in the Batovi province in Brazil. The distribution will be made as a return of paid-up capital and the record date for such distribution will be set at April 17, 2007.
Each current shareholder of Consolidated AGX will receive 0.144 share of 0787522 B.C. Ltd. for every one share of Consolidated AGX.
The foregoing transaction will be subject to obtaining the necessary shareholder
