Buffalo Gold amalgamation with SargoldHello everyone, Buffalo Gold amalgamation with Sargold 2007-10-30 17:45 ET - Shares Delisted from TSX-V See Amalgamation (C-BUF) Buffalo Gold Ltd The TSX Venture Exchange has accepted for filing documentation in connection with an arrangement agreement among Buffalo Gold Ltd., its wholly owned subsidiary 6823368 Canada Inc. and Sargold Resource Corp. dated Aug. 31, 2007, pursuant to which the company has agreed to acquire all of the issued and outstanding common shares, warrants and stock options of Sargold. The consideration payable by the company is one common share, warrant and option for every 3.5 common shares, warrants and options, respectively, held by Sargold securityholders. The exchange has been advised that approval of the transaction by the Sargold shareholders was received at a special meeting of the shareholders held on Oct, 25, 2007, and that approval of the transaction was received from the Supreme Court of British Columbia on Oct. 29, 2007. Delisting In conjunction with the closing of the transaction, Sargold has requested that its common shares be delisted.
