How would FRAUD be different?

How would FRAUD be different?I have trouble envisioning it being much different.  Consider the bait-and-switch of characterizing this company as having small-format battery technology ready for the masses, raising $50 million, then the whole small-format premise evaporates into thin air. 

VS.

There never was a small format battery for Nokia cell phones, it was merely windowdressing, a working engineering prototype that did not have the requisite safety characteristics, performance, endurance, cost, reliability.

I have trouble understanding tannin's argument.
