Number of shares
*** This is very critical for your good evaluation of Victhom. The number of shares is around 35M and not 12M.
It used to be in the range of 120M pre consolidation. But read the contract carefully. The contract stated that they will issue 229,425,000 new shares to pay their $18,354,000 debenture debt. The contract also states that the 7% interest payable for that same debt will be paid in shares at market value at the date of the vote. That number was still unknown before the transaction but it would add a good number of shares as well.
So after the transaction and the 10:1 reverse split, the numbers of shares would be around the 35M shares. I did not received the exact number after the contract was materialised but it will be around there.
Wherever you guys are getting the 12M shares, that is the hold number and doesn't reflect the big dilution that we incurred in order to pay the $18M debt. I haven't found the exact new number and the best estimate that we have at this point is the number published in the contract that they mailed to us before the vote.
