Code of Ethics – A proposed TSX listing
requirement is similar to a proposed NYSE rule,
requiring the mandatory adoption of a formal
code of ethics to govern the behaviour of
directors, officers and employees and requiring
disclosure of any waiver of the code for
directors and officers. Both these requirements
are broader than the Sarbanes-Oxley Act, which
only requires companies to disclose whether or
not they have adopted a code of ethics for their
principal executive officer and senior financial
officers and to disclose waivers of such code.
