Valuation of company is based on enterprise value (physical value of properties, operation, expected recoverable ounces on leach, reserves), not market cap. Premiums are addition to enterprise value. Market cap just shows investor interest more than anything else.

Also, purchaser is capable of writing off the debt as part of the premium.
