New IR Agreement announced April 4th Vancouver, British Columbia April 4, 2014
SmartCool Systems Inc. (TSXV: SSC) (the "Company") is pleased to announce that it has entered into an agreement dated March 26, 2014 (the "Agreement") with FronTier Consulting Ltd. ("FronTier") of Toronto, Ontario, whereby FronTier will provide investor relations advisory and consulting services to the Company. FronTier is arm's length to the Company and does not hold any shares or options in the Company.
FronTier shall provide investor relations advisory and consulting services to the Company for the purpose of facilitating the communication of information about the Company and its business to investors and the public markets generally as well as general corporate advisory for the Company as needed. Among the range of activities that FronTier shall undertake in
collaboration with the Company include road show campaign comprised of four days of introductions and road show meetings, coordinating investor meetings, developing and producing corporate presentations and enhancing the Company's relations and communications with its shareholders and the investment and financial community.
For their services, FronTier shall be paid a fee of $4,000 per month during the term of the Agreement commencing April 1, 2014 until April 1, 2015. The anticipated total cost of this agreement to the Company for the 12 months is approximately $48,000, excluding applicable taxes. The Company expects to pay the costs of the Agreement from funds on hand. FronTier is an investment research firm which also offers consulting services through contract consulting.
FronTier caters to institutional and corporate investors. FronTier is a division of Merchant Capital Group with offices in Toronto, Montreal, Calgary, Vancouver and Connecticut. The agreement with FronTier is subject to the approval of the TSX Venture Exchange.
