The Company is engaged in the development, operation, and exploration of its copper project (the Project) at its Pumpkin Hollow Property (the Property) in Western Nevada, United States of America. Its two fully permitted projects include the high-grade Underground Mine and processing facility, which is undergoing a restart of operations, and a large-scale open pit PFS stage project. If what you are saying is what I think, then "Yes" you are correct. Pala currently effectively (even without additional shares from the loan conversion) has voting control of this company.

So although Rockhound may be correct in the companies right to pay with a penalty, that will only be done if it is beneficial in someway to Pala.
