The shelf registration, while spooky perhaps, is for a dollar amount cap, not for any particular offering at any particular share price.  The Capex could very well be raised (along with bank and investor loans, state gov't. grants, loan guarantees and other incentives to create jobs, etc.) at $1/share to preserve insider shareholder equity (much smaller percentage of a much larger pie--even actual dividends).  I, too, am closely watching what appears to be an overreation.  I still have some rent money left.  Dundee did not recently come forward with $3 million for a final feasibility study on a whim IMHO.
