Mr. Tyrone Daum, dissident shareholder, reports
PETROMIN UPDATE BY DISPLEASED SHAREHOLDERS
Displeased shareholders of Petromin Resources Ltd. are providing an update. The company will hold an annual general meeting at 2 p.m. on Dec. 15, 2016, at Suite 950, 609 Granville St., Vancouver, B.C.
This meeting will be shareholders' only opportunity to have their proxy heard about the future leadership and direction of the company, as the dissidents know shareholder voices are a waste of time with the current directorship of this company.
Fact: Adrian Alan Wan Tsun Chan is currently a director of TerraWest Energy Corp. How could he miss this on his resume?
The following is copied from Petromin Resources' Nov. 15, 2016, letter to the shareholders signed by A. Ross Gorrell that was posted on SEDAR on Nov. 17, 2016.
Adrian Alan Wan Tsun Chan is currently a director of Basic Corp. Ltd., which is principally engaged in investments, financial advisory services and consulting.
Facts: In reality, gifted it to him!
On March 26, 2015, Enviro Energy International Holdings Ltd. (a company that Petromin directors A. Ross Gorrell, Kenny W. Chan, Peter Tak Yuen Ho and Jimmy Kwok Kwong Lau fabricated as a vehicle to move TerraWest Energy shares through) disposed of the entire issued share capital of Basic, a wholly owned subsidiary of Enviro Energy International Holdings Ltd., whose major assets comprise two club memberships to Adrian Alan Wan Tsun Chan, the former chief financial officer of Enviro Energy International Holdings, at a consideration of approximately $2,249,000 (Hong Kong). Enviro Energy International Holdings reported there was no gain or loss on disposal of this subsidiary and the transaction constituted a related-party transaction of Enviro Energy International Holdings.
The following is copied from Petromin Resources' Nov. 15, 2016, letter to the shareholders signed by Mr. Gorrell that was posted on SEDAR on Nov. 17, 2016.
Adrian Alan Wan Tsun Chan was previously the chief financial officer of Enviro Energy International Holdings, a company listed on the main board of the Hong Kong Stock Exchange from November, 2009, until June, 2015, and was mainly responsible for its overall financial management, internal control function and accounting function.
Facts: He left Enviro Energy International Holdings with Mr. Gorrell and Kenny Chan when they transferred from Enviro Energy International Holdings the shares of its two wholly owned subsidiaries, Chavis International Ltd. and Aces Diamond International Ltd., each of which held shares of TerraWest Energy that were appropriated by A. Ross Gorrell, Kenny W. Chan, Peter Tak Yuen Ho and Jimmy Kwok Kwong Lau, in breach of fiduciary duty, to Chinook Holdings Ltd., the company through which A. Ross Gorrell, Kenny W. Chan, Peter Tak Yuen Ho and Jimmy Kwok Kwong Lau presently hold their indirect beneficial interests in TerraWest Energy shares as constructive trustees for Petromin Resources.
The following is copied from Petromin Resources' Nov. 15, 2016, letter to the shareholders signed by Mr. Gorrell that was posted on SEDAR on Nov. 17, 2016.
Adrian Alan Wan Tsun Chan holds a bachelor of commerce degree in accounting and finance from the University of New South Wales, Australia. He is a member of CPA Australia and the Hong Kong Institute of Certified Public Accountants.
Facts: Adrian Alan Wan Tsun Chan is a minion of Petromin defacto officer Kenny W. Chan, also known as Chan, Wing Him Kenny and Chen Rongqian, who is currently a director of TerraWest Energy. Adrian Alan Wan Tsun Chan has enough of an education that he holds shares in Chinook Holdings but not one share in Petromin Resources. Adrian Alan Wan Tsun Chan is failing to be transparent here and tell all Petromin Resources shareholders and investors why after one year of being a company director he still fails to own one share of Petromin Resources, when he received consideration of approximately $2,249,000 (Hong Kong) as above.
Conclusion
The dissident nominees will soon be issuing a subsequent news release to show you (the company shareholders) how to cast your vote by voting your proxy in support of the dissident nominees, being Ivano DeCotiis, Tyrone Daum and Francis Landingin, for election as directors of the company.
Your voice will not be heard by the company, you must act by voting your proxy for the dissident nominees. Your proxy will have to be mailed in, with corrections (will be posted in a subsequent news release) to ComputerShare to count; do not do the telephone or Internet voting! This can only be done for current management nominees. This is not about taking over the company. This is about doing what is the best and right for the company.
