The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced June 15, 2017.

Number of shares: 12.5 million common share units (Each unit will consist of one common share and 0.52 of one common share purchase warrant, with each whole warrant exercisable at 15 cents for 180 days from issuance.)

Purchase price: 12 cents per unit

Warrants: 6.5 million

Warrant exercise price: 15 cents

Number of placees: one placee

Insider: Allstate Enterprise Management Consulting Ltd. (Norman Zhang), 12.5 million
