I would then tell ES that I will ifnd the money and match Novo penny for penny as per the commitment. I would do a 10:1 consolidation of ARV shares to make 47mil shares and do a PP at $2 (ARV SP after 10:1 consolidation) for 9mil shares giving away just under 20% of the company for $18mil. I would use my connections and Creasy's connections to land that big fish but I would ONLY do this after Novo has spent $1.99mil on the project. Novo does not get control of the JV until their commitment is made. That $1.99mil can do a lot of shallow drilling and come up with some very exciting numbers. If so, the $2 SP might even be $4 and ARV can give up either less of the company or raise more money. Then I would tell ES that I am here for the long haul unless he has a better offer for me.

But the key question really becomes:  After NVO secure 50% ownership and 100% control of the JV (after $2mil exploration pocket change is expended), why do NVO need Artemis Reources around any more?

Answer is:  they dont.  And in any successful business, you rid yourself of what you don't need and the JV has been engineered in such a way where it can be done fairly easily under the full control of ES - setting price of sale, time of sale, and means of compensation.  And it's all irrelevent what the suspected resource underground may be.  Without a 43-101 it's all speculative anyway.

That's how the business goes.

There is only one way to play it if going by your JV terms which isn't the case in reality. Interesting though .
