Sometimes the share price is considered too low for the value of the Company, and insiders feel that it has nowhere to go but up. We are all familiar with Companies announcing buy back of their own shares by the Company for this reason too,

Having analyzed what happens to share prices of many Companies just prior to, and just after, quarterly earnings announcements and/or acquisition announcements, I'm really sceptical of the purity of black out periods, and equally sceptical of the limited value of regulitory bodies....
