There is couple of things to note. One the prospectus filed is not an equity raise until it is exercised. APHA has upto 25 months to exercise the raise. The prospectus is merely notifying the SEC that it may excercise a raise. Having said this on the positive side is insiders are buying. As an insider one would not buy if a raise would be at a lower SP then it is today.


The prospectus makes Aphria better prepared to move quickly should the US federally legalizes.  Irwin Simon stated in the last conference call that should the States federally legalize, Aphria would acquire an existing US based CPG company and expand cannabis products into that operation.  

With a a decent amount of cash already, the prospectus gives Aphria expanded capability to acquire such CPG company.

Just cocking the trigger.  Once the States go federally legal, there will be a feeding frenzy.   Best be ready!
