yes this right " payable upon demand" the problem is EMH has make this request in writing prior to Nov 1 2019 payment, which they did not, secondly they could have again made this request before deadline Nov 16, 2019 again EMH did not, on Nov 20 2019 EMH made a offset request against the $13 ml, not sure why EMH just didn't do it the right way?
