HIT TECHNOLOGIES ANNOUNCES PROPOSED SHARE CONSOLIDATION
Hit Technologies Inc. has called an annual and special meeting of the shareholders for April 15, 2020. Shareholders will be asked to approve, among other matters, at the meeting, a proposed consolidation of the company's issued and outstanding common shares. If approved, directors will have the authority to implement the consolidation at a ratio of one postconsolidation common share for up to a maximum of 20 preconsolidation common shares at any time prior to the next annual general meeting of shareholders. The purpose of the consolidation is to increase the company's flexibility with respect to potential business transactions, including future equity financings. The company currently has 97,191,202 common shares issued and outstanding. The company is not expected to change its name in conjunction with the consolidation.
Notwithstanding approval of the consolidation by the shareholders, the directors, in their sole discretion, may elect not to complete the consolidation without further approval or action by, or prior notice to, the shareholders.
The proposed consolidation is subject to the approval of the shareholders of the company and the TSX Venture Exchange. For more information regarding the proposed consolidation, shareholders are encouraged to review the information circular prepared by management of the company in connection with the meeting, a copy of which is available under the company's SEDAR profile.
The meeting is scheduled to take place at 10 a.m. PDT at Suite 1120, 625 Howe St., Vancouver, B.C., on April 15, 2020. The record date for establishing shareholders entitled to receive notice of and vote at the meeting was March 9, 2020.
