RE:Les actions serie BNot sure if legal or anything but the math does work if they maintain the price ratio between A and B. Issue 600M A shares at 80 cents for $480M proceeds. Offer to buy back 1B B shares for 48 cents (480M cost) and convert 1.166 B shares at 48 cents into 700M A shares at 80 cents. Result is 1.5B A shares or .625 of the previous share count which should result in a 77 cent share price if the market cap is maintained. I believe the math works at a premium price ($1.20/.72) as well as long as A:B ratio is maintained. Family maintains control and dramatically increases their share of the company without having to go private, share count drastically reduced so higher share price upside for everyone. Far fetched perhaps, but would certainly be very clever.
