Well, this is where the grey area is -- do they ever formally end discussions and break off all future engagement? If so, it would be material and should be disclosed. However, if that break is not formalized, then the company would not be required to release anything. So even if the compnay knows its going nowhere, but it hasen't been formally documented, they don't need to tell us.
