It is my understanding that when they start the process for a PP they use the price at that time. I have noticed most of the time that the PP are lower than the going price of the share at the time. The other thing to note is that only certain people can get into a PP - you have to be an accredited investor and you need to know the right people to get into it.

I may be wrong so any correction would be appreciated.
