  • dynaCERT Invests in the USA and Receives a Purchase Order for 3,000 HydraGEN™ Units. That was 18 months ago. Where are the sales to go with that purchase order? More on that later..... 
  • Concurrent with this transaction, KK has entered into a strategic partnership with Velociti Inc. (“Velociti”), whereby Velociti will provide installation services for KK throughout the USA and elsewhere where Velociti operates and also to provide HydraGEN™ Technology Units to Velociti’s existing clients. I say again..... where are the orders? What happened to Velociti?
  • (TSX VENTURE: DYA) (OTCQB: DYFSF) (FRA: DMJ) ("dynaCERT" or the "Company") is pleased to report that it has granted to KarbonKleen Inc. (“KK”), dynaCERT’s Preferred Service Provider, the exclusive Dealership rights in the trucking industry in the United States of America until December 31, 2024. The exclusivity granted to KK is subject to certain quotas of a minimum of 150,000 HydraGEN™ Technology Units over a little more than three years. On May 9, 2020, KK has provided the Company with a purchase order for 3,000 HydraGEN™ Technology Units as described below. No announcement since then to suggest KK has lost its exclusivity. Time is running out, don't you think?
  • DYA using DISH has agreed to invest a total of US $1,092,000 in KK in a transaction whereby the Company will own, indirectly through DISH, twenty percent (20%) of KK and a Promissory Note from KK due December 31, 2021, bearing interest of 10% per annum. With no sales to speak of, who will put up the cash to pay off the note. The purpose of this investment by DISH is to accelerate its market penetration and sales in the USA market which both dynaCERT and KK have determined is a growing priority in North America.
  • DISH shall have representation on the board of directors of KK for as long as DISH retains its shares of KK and DISH retains pre-emptive rights on any future financings of KK. The shareholders of KK will also enter into a shareholders agreement which provides for the manner in which shares of the Company may be voted. The Company believes that the aggregate number of shares held, or controlled or directed, by such parties represents less than 10% of the issued and outstanding shares of the Company. I will forgive the poor wording of this statement but I think it is suggesting that no individual shareholder of KK owned more than 10% at the time DYA purchased its 20%
  • Brian Semkiw, KarbonKleen’s Chairman & CEO, stated, “In the past few months, some of the largest fleets in North America have been piloting HydraGEN™ Technology. These fleets have been experiencing the benefits of the reduced emissions, increased performance and fuel savings across all users and we expect a vibrant expansion of the pilot programmes to full fleet deployment with the subsiding of the Coronavirus pandemic. This investment by DISH and our partnership with Velociti will enable us to meet the anticipated demand with the delivery and maintenance professionalism that large fleets demand.” I ask again, where are all the sales and where is Mr. Semkiw? In fact where are all of the other "shareholders/managers of KK?
  • The answer is that they've moved to Quantum Fleet, a company that has licensed some patented technology out of MIT that essentially allows trucks to measure the most important GHGs coming in and exiting the exhaust. (TSX VENTURE: DYA) (OTCQB: DYFSF) (FRA: DMJ) ("dynaCERT" or the "Company") is pleased to announce that it has received conditional approval from the Toronto Stock Exchange ("TSX") to graduate its listing from the TSX Venture Exchange ("TSXV") to the TSX. The Company is also pleased to report that it has closed its transactions with KarbonKleen Inc. (“KarbonKleen”) and dynaCERT International Strategic Holdings Inc. (“DISH”), as previously announced on May 11, 2020 (See Press Release dated May 11, 2020).

  • During the COVID-19 shutdown, the Research & Development premises and testing equipment of the Company were also upgraded. dynaCERT is continually doing scientific research to make its commercial products more robust and applicable to new vertical markets. The established R&D team, under the new management of Mr. Gavy Singh, P.Eng., has been developing product improvements which will be made available to all dynaCERT customers in all the upcoming deliveries of the Company’s HydraGEN™ Technology Products. The new upgrades feature fewer moving parts, less electrical connections, a simpler design and more user-friendly operation than the existing HG1 Units being deployed at the present time. dynaCERT continues to provide existing customers with the latest upgrades to ensure its continued goodwill with end-users. This last bit is the part where they apparently admit that nothing they've shipped works and they will continue to ship new ones until they get it right.

Sparta has indicated to dynaCERT that its collaboration with dynaCERT will greatly complement TruckSuite’s exclusive, symbiotic suite of COVID-19 safety tools for trucking fleets and truckers that TruckSuite Canada™ has been assembling, as previously announced by Sparta. As a first commitment to dynaCERT, TruckSuite has provided the Company with a purchase order for 150 dynaCERT™ HG1 Units.  Well that's a pretty big order and its over a year old. Have any been shipped and paid for? Oh, and good luck finding any reference to dynaCERT on the  "trucksuitecanada.ca" website. You won't find a reference on Sparta's site either.

So what of KK? The executives are all gone. No announcements from DYA, DISH or KK on any of those initiatives.... Its more than just a coincidence that Quantum Fleet Technology that now counts MOSOLF as a client is located in the same offices as shown on the KK website. 

Previous versions of the KK website showed 4 executives. Lets imagine for a moment that they were the shareholders..... owning 10% each. That's 40% right? With Dish owning 20% post the financing, who owned the rest?

How or why is it that these guys who were initially contracted to create software then graduated to KK and then graduated to a new software operation that in a way competes with Hydralitica in the sense that it is agnositic when it comes to emission reduction devices deployed?  Did dynaCERT not think to include non compete clauses with these guys when they were running KK?
