you're right - I meant the closing of the remaining ownership interests (WELL only owns ~50% of the company, same with Circle)

re: share offering - I mean a capital raise on the US markets once they list on NASDAQ. WELL has filed a $500MM shelf prospectus which can be used for this. they would likely do a share offering in conjunction with a US acquisition (or series of acquisitions).
