Cleaning Up (1)

Cleaning Up (1)
Just a couple hundred comments. I may restart StoxComm but I have another project to do first. If I do get StoxComm going again, that's where I'll post stuff like this in the future.

Financings & Share Price Pressure
About a financing, I think shareholders ought to consider Ladenburg Thalmann (LT) vs Lind Partners. I wrote recently that with respect to Bioasis, there are those at the table, others in the room and most of us are outside of the room. The same goes for LT. A financing under either LT or Lind would result in shares being issued, dilution. At these prices the dilution would, of course, be dependent on the amount raised.

The financings are anticipated to be staged, likely because Bioasis anticipates that by raising a smaller amount now, less may be needed later if deal revenue comes in. If more money is needed than what revenue can handle, then at least 2nd and 3rd stage financings may be at higher share prices for lower amounts and less dilution.

But staging the financings also also means that the company is covering itself if there is no news and the share price stalls. Dilution is one thing, but no news is a far bigger problem because it suggests that xB3 cannot generate business deals. I believe xB3 can generate business deals but investors need to make judgements about whether it will do that or not.

I don't know who will get the financing but if it involves Ladenburg Thalmann, the financing could very likely be done for the benefit of LT's primary clients, those LT clients who are at the LT table. LT's involvement in strategic initiatives and liquidity events for Bioasis likely positions them to make the case (apply pressure) that they want the financing instead of allowing Lind to do it. Cheap stock is what it's all about.

There has been the question about whether certain interests are purposefully driving the share price down to set up a cheap financing. I don't think so. With the low volume we're seeing, it would be a rather feeble effort. Also, weakness doesn't sell all that well unless there is selective disclosure, meaning that buyers of the cheap stock have information that the rest of the market doesn't have. That happens but it's dangerous. I would say that 20¢ or 25¢ are already pretty cheap prices for a stock that will be moved on Nasdaq and touted as a worthy competitor to Denali. I'll leave the share price manipulation theory to the more paranoid.

About My Experience
I have been involved in starting or restructuring a number of public companies on both the Canadian and American exchanges, three of them on OTC Markets. I have worked with multiple Canadian companies when they co-listed on OTC Markets.

I'm no expert but I do know that share structures and listing methods are dependent on things that the companies cannot accurately predict months in advance. That's why the company won't say for sure that a Nasdaq listing will happen this year. They don't know. And that is also why I think it's a little early to bring too much detail into the discussion.

What I do know is that nothing is as important in the process as good performance by Bioasis. All things will be swell with serious accomplishment.

RonRydell
There was a snarky comment made by somebody about RonRydell knowing me for only a short while, an attempt to ridicule RonRydell for any respect he might have for me. And, of course, it was a shot at me.

RonRydell and I have known each other since way before Bioasis was created in 2008. RonRydell is a very successful businessman, a really good and strong person, and is a person for whom I have great respect. We have both been involved in two companies with great technologies that were both negatively affected by management decisions. Neither of us is very happy about sharing that experience.

Four Posters (of the Apocalypse)
I have carefully documented attacks on me by four posters, including beenthere. These four have made serious efforts to defame me and I take it very seriously. I am not anonymous and it can be shown that these four almost certainly knew or ought to have known who they were defaming, that they intended to cause me damage and that they did cause me damage.

beenthere posted that I have sent personal messages to him. My messages to him were that I may take legal action against him for publicly calling me a liar on many occasions, something that leaves him completely vulnerable should I take legal action against him. He can't prove I lied because I don't lie. I offer knowledge and considered opinion, in complete good faith.

My personal messages to beenthere gave fair warning to him in attempts to cause him to reconsider his behaviour on this forum, behaviour that is over the top and dangerous to himself and damaging to all shareholders.

I should note that the last personal message I got from beenthere, where he again called me a liar, was mistakenly sent to me from one of his other aliases, Glasshalffull1. I leave to readers to form their own opinions about where dishonesty lies.

Ok,

I'm gone, thanks. I won't respond to any of these four posters for obvious reasons.

Happy Canada Day

and

Happy Independence Day to RonRydell and to all of my American friends.

ps: July 4 is also my birthday. I have always considered it nice of the folks south of the 49th to celebrate my birthday. I mean, fireworks! Who gets that?
