The company , then called Centric Health was a very different company ; it would be like comparing Blackberry to Research in Motion. Centric was a fast growing house of cards built on debt .
The market isn't about the past but about the future as in is there value currently.
I do share some of your concerns but I can't help thinking the reason that they haven't been sued by any of their long term care customers is because they do a good job.
As far as access to the Karie technology (unless you're an insider ,and have knowledge) a direct investment could be the only way to have gotten access? In other words , licensing before investing may not have been an option
