Doesnt insider buying mean that they are not currently in black out period and any deals they may be completely may not materialize for sometime?

That's correct. However there are many reasons for buying. Sometimes the share price is considered too low for the value of the Company, and insiders feel that it has nowhere to go but up. We are all familiar with Companies announcing buy back of their own shares by the Company for this reason too, Having analyzed what happens to share prices of many Companies just prior to, and just after ...more

I really don't think the traditional meaning of blackout period would apply to this type of business for the deals they do. I mean, they are working on deals 365 days a year as that's the business they are in. I'm sure there could be some questions if there was some huge insider buying the day before they announced a hugely positive transaction, but they would be free to buy and sell ...more

Back when I was an insider, my blackout period was about 8 months out of 12 months, and that was if I wasn't directly involved in a deal. If I was involved in a deal that was discussed, then I would have additional blackout periods. One year, I had 11 out of 12 months in "blackout". TBH it kind of sucked... Anyway, my guess is that the CFO may not be active in talks for additional ...more

Note when the insider buying occurred - immediately after the last news release that detailed the two buyout agreements.  Although Alaris is always working on new deals, I suspect there is nothing imminent. Senior management would not want to be seen buying shares within a few weeks of announcing a major new investment.  These guys are very professional in all that they do. Buying ...more
