three-cornered amalgamation transaction?
Can someone explain what this means? I thought it is a transaction between holdings and ate who and why is there a third party?
"The companies will be combined in a three-cornered amalgamation transaction pursuant to which Holdings will amalgamate with a newly-incorporated subsidiary of the Company."

The way I read that Nick was ... you have ATE and you have AH and then you add a new subsiduary to ATE where the patents will get transferred. Upon transfer completion, you eliminate AH. That's what I thought they meant - just for the "transaction" is it 3-cornered. Anyone ?

Looks like you have done your homework. Are the 5.87 million shares the only "dillution"?* * I don't really class this as dillutive because of the benefits involved. jmo
