Wyloo never released a timeframe because it isn't a binding agreement

The last understanding was a counter bid but was not categorized as friendly or hostile but Wyloo first was deemed  hostile .. Mr Coutts sits on a proposal and isn't interested in making it public ... WHY ??? It always been the way him and his board operated ... lack of clarity / guidance and transparency  https://www.theglobeandmail.com/politics/article-trudeau-wants-action ...more

Just trying to help out Fordtrucks, the Jan 14 date is the new date that BHP has set out to start accepting tendered shares agaian as the wyloo/ Bhp takks progress. Since the talks has ended with not results i am not sure that date is significant anymore?? Here is a meaningful clip of the news release about it...  BHP Lonsdale Investments Pty. Ltd., a wholly owned subsidiary of BHP, is ...more

startenout that makes perfect sence an i guess till the unknowns happen, things will continue as they have. I really apreciete the time you took to answer my question I feel i'm pretty knowledgable but sometimes the thinking cap is a little tight, as i expect it might be on a lot of other share holders, especially new people, so when i ask a guestion it is to help circulate good information ...more

It took Noront 1 single day to agree BHP's bid was superior to Wyloo bid but now it is 5 days and zero news ??? something isn't right and this smells !!! both companies have break up fees on top of bids  BHP 13 million wyloo 17 million https://norontresources.com/bhp-increases-all-cash-offer-for-noront-to-c0-75-per-share/ The terms of the Arrangement Agreement, if ...more

It would lead me to believe that Wyloo is fishing to see if BHP steps up to the plate to match Wyloo’s  bid ? most likely the reasoning behind non- binding 37.2 % or more on the open market and a 17 million break up fee ??? All @ 1.10 nice CARP
Comment by startenout on Dec 18, 2021 9:55am
Lou, thanks for the break-up fee information.  But, isn't the "non-binding" agreement due to the fact that Noront has not accepted the Wyloo bid as superior yet?? If and when Noront decides that the $1.10 bid is a superior bid and the NOT board approved the bid over the $.75 BHP bid , only then does the Wyloo bid change from a purchase proposal to a "binding" ...more
Comment by lou64 on Dec 18, 2021 2:33pm
It merely offers keeping talks open only and it does not offer the actual amount being offered ... why hasn't BHP commented because it isn't a solid bid and does Noront management actually take the offer serious ??? The reasoning NO COMMENT from management and BHP it like me saying I will buy your shares without actually buying them with the firming up with actual money being passed ...more

Forrest is playing poker with BHP ... he sitting on a pair and telling BHP his hand is a Royal Flush non- binding
Comment by startenout on Dec 18, 2021 5:32pm
Thats some pretty fine research there Lou, nicely done. There must be a few sentences in the Wyloo offer that needs some lawyer clarification that would ultimately let the Noront  board deem the bid superior and binding. I am no lawyer and could probably read those line and not know the difference, or what would make it binding or non-binding.  maybe Goodheart is driving his wife ...more

Some fool sounds offended ??? Mister pump Queen has her panties in a knot ? Not enjoying the simple fact about A company that lacks transparency/ guidance / honestly / integrity ? Maybe Neskantaga could answer about that relationship and how the Gloden Boy negotiated? wyloo has offered a non- binding deal and Golden Boy got no idea how to deal with Forrest !
