They would need a short form prospectus if Kronos is shopping their IP.
Comment by shneps on Feb 11, 2021 9:16am
First the prospectus has to be filed. Second a prospectus for issuing new shares generally is issued for anytime within a one to two year period. I believe we are all well aware of the fact OILS will continue to require more funding (beyond revenue generated through extraction and licencing). We will need to see how many shares they are potentially issuing and for what purpose. Again this is to ...more

This would be like getting proactive approval for financing before you go out and buy a second food truck based on demand or expected demand? IE enough capital to meet the needs of secondary lines of production and other capital investments? Am i guessing right?

You got it.

Everything in an INTENTION TO BE QUALIFIED UNDER NATIONAL INSTRUMENT 44-101 SHORT FORM PROSPECTUS DISTRIBUTIONS is open to be modified.  There's no set number of shares, price, warrants, etc. if Kronos is shopping their IP you would need a short form prospectus available to negotiate an investment from a 3rd party.
Comment by Rm90090 on Feb 11, 2021 10:18am
If this document is related to Kronos shopping their IP - would this document be related to a business acquisition or simple licensing? I ask because we are seeing unusually high volume the last few days. It could be institutional activity.
Comment by LastoftheFranks on Feb 11, 2021 10:35am
There's a few things going on. Q1 should be over +$1M revenue which can land them analyst coverage. Paul has also mentioned pharma co's kicking tires recently, Kronos is shopping their IP.  This can lead to a myriad of things. My GUESS would be partnership or 3rd party investment (Cronos- Altria, AB Inbev- Tilray). There may be a log-jam of over supply in Canada but there is an ...more

And what about Mexico? Seem to me that angle is under-discussed here. It's a huge market on the verge of legalization.
Comment by LastoftheFranks on Feb 11, 2021 11:52am
Need to see what the rules are first. Will it be protectionist with domestic industry only? Can you import Canadian products, etc. It's good either way but the devil will be in the detail.

Medical use regs published according to this: That legalization effort has already been delayed several times, but a path for doing business on the medical side started opening Jan. 12, when federal regulators published regulations for implementing the law.   https://hempindustrydaily.com/time-to-invest-in-cannabis-in-mexico-is-now-attorneys-say/

Can commodity quality extract be used for the medical market? I don't see why not. It is about molecules not magic right?

Below is an interesting correlation to the announcement of a forthcoming prospectus by Nextleaf. Mind you the below announcement was for an IP in the US, it is along the same idea for OILS potentially moving forward. South of the border, U.S. MSO (multistate operator) Green Thumb Industries Inc. (GTII) added $3.33 to $48.71 on 2.2 million shares, on top of the $2.25 it added yesterday ...more

In our case, why would we have to give up shares instead of just collecting licensing fees or royalties?
Comment by shneps on Feb 12, 2021 8:28am
Please do not take my interpretation as being completely accurate. If others can expand, please do. Nextleaf is currently putting out a notification stating they are looking at potentially filing a short form prospectus. They need to issue this notification at least 10 days before potentially filing the prospectus. What this short form prospectus filing would ultimately allow Nextleaf to do is ...more

Welcome back!  Where've you been?
Comment by allibabba on Feb 12, 2021 1:17pm
The prospectus is because a large investor went around and lobbied all the cannabis companies desperate for money and offered them money on bad term for the shareholders and good terms for them.  Do you think it's a coincidence that LABS, VLNS and OILS all do the same thing within a month...I don't!
