NCU future

I can see PALA taking over this whole show some time down the road.Maybe offering .20-.25 cents for remaining shares.

Maybe that's been the plan all along?  Make some progress, orchestrate some set backs, get retail to dump and then swoop in and take the whole thing private?
Comment by Notgnu on Aug 15, 2021 9:02pm
If I remember right it is a lot more ownership than 50% (currently Pala has about 39%) to do that. Looked it up a while back but if they were to try and force a buy out of minority holders I think it was more like 80% otherwise they open the company to competative bids and could end up losing the whole shebang. If anyone is a corporate merger / aquisitions lawyer then please let us know. I ...more

They own most of the warrants so why wouldn't they dilUte the shares that way first. What percent of the warrants have been redeemed when the share went over .30 cents. It looks like their running at 15 percent at the moment but it's now out of 130 percent so it looks promising in the next quarter so IMO hold on for now Do you know of other copper mines that are this close if so let me ...more

The warrants likely get exercised. The strike price may even get lowered before they do. Yes, this is possible. The company applies to the regulator and gives a good reason and the regulator says yes or no. My guess is either the share price tracks up and the warrants get excersized at current 20 /22 or, if the share price stay in it's current bargain basement then the warrant strike get's ...more

What could possibly be a good reason to rewrite the contracts?
Comment by Notgnu on Aug 15, 2021 10:03pm
As an example NCU could borrow more cash if they need it or they could do a financing at, for example 19 cents and attach some warrants if needed to sell it; or they could lower the strike price on the existing warrants to bring in the $50 or more million from the existing ones. No financing fees etc are needed that way and the dilutition remains close to the existing fully diluted share count ...more

How could it possibly be legal to change the terms of the warrants?  Those are contracts

To not consolidate is possible but it would put them in breach of loan conditions thus: Approval of the special resolution with respect to the Share Consolidation gives the Company’s board of directors (the “Board”) the authority to implement the Share Consolidation at any time prior to December 31, 2021. Notwithstanding the foregoing, the Board retains the discretion to not proceed with the ...more

Comment by Notgnu on Aug 16, 2021 2:53am
I am 99% sure they can do it but have no idea if they will do it.  If you were Pala / Castle lake and haters were going to bomb your share price... and you cannot buy on the public market... but the company you have 'influence' over can re-price the warrants in line with the bombed share price... and this allows you to buy discounted shares with re-priced warrants that you hold ...more
