SAN DIEGODec. 8, 2020 /PRNewswire/ -- Brandes Investment Partners, L.P., which on behalf of its investment advisory clients holds approximately 7% of the outstanding class B subordinate shares of Dorel Industries, Inc., today announced its intention to vote AGAINST the going-private transaction proposed for Dorel by Cerberus Capital Management, L.P. and Dorel's controlling shareholders.

Yes, I can view it on Sedar but I still need a copy of the proxy ballot with the control number to vote my shares. Have yet to recieve it. Hopefully it arrives today.

Finally recieved the materials this morning and just finished AGAINST the proposal. Management's compelete disregard for minority shareholders is disappointing. This is what happens when you stand to benefit potential $50+ million to ram this throgh at the cheapest price possible to sharks like Cerberus that have over $40 BILLION in assets. Never again this type of structure for me.

I averaged down and excluding my March purchase had an ACB around $10. Decided to listen to what analysts are saying about potentials for SP to drop. Sold at 15. I wasnt convinced about how drastic SP increasing because of bike sales. Juvenille on the other hand has not done as well with store closures. E-commerce growth may not continue at the same rate. So you let them scare you out of your shares. Management now using press releases loaded with fear to get minority shareholders to tender while manegemnt is KEEPING their shares and INCREASING their stake in the company. This is a special kind of low. If business is so uncertain why are they INCREASING their stake and desperate to get this deal rammed right through at the CHEAPEST price possible? ...more

Speaking of feat tactics look at the company website. It states exactly the following " Vote Now To receive your C$14.50 in cash, you must vote in favour of the Transaction. Your vote is important regardless of the number of shares you own, and we recommend that you vote for the Transaction even if you are unable to attend the Special Meeting." So if I vote against I don't get paid ...more

Wow. You are correct. ALL shareholders get $14.50 if the deal passes no matter how you voted. We just want a FAIR price, at least a premium of some of the future potential that is being capped artififcillay because of this low price offer.  If business is so uncertain why do they want to take this private? I sold back in November from personal preference of not holding after buyout offers. Those are my own thoughts as someone who was a shareholder through these events. On potential buyouts I have had slight upside holding, sold before a slightly higher offer, and times where the deal did not occur with the price dropping.  These press releases can be influential however management is ...more

Have no idea why you're an apologist for management. How do you 'force' a sale? The price was $6 in February, and artifically low from the Covid crash under $2 and then recovered very quickly (like many stocks) to above $7.00. There was no buyer at the time. July 31 they receieved offer for $12.50 with the stock at $10.55, an offer with not much of a premium to start with. While the ...more

I hope so to, To clarify.... October 16 your shares closed at $15.00 and were as high as $15.45. Your management accepted an offer from 'The Buyer' for $14.00. The offer for $14 was the starting minimum value in TD valuation report.  On October 18...'The Buyer' ended discussion. I guess they can't call it a 'takeover' but rather a 'takeunder' since their ...more
