Institutional investor selling
It appears that a large institutional investor is selling. If you look at the daily volume it is erratic without any news. I think the large spikes in volume is because it is one or two investor decreasing their position. Probably a company that has been holding for years and tired of the slow downward trend. I think it is a terrible time to sell but I understand the impatience.

This theory is possible but with brokers having $40 targets and the company about to close on a one billion dollar deal who would choose to sell at this point? Especially after holding through the recent tough period. It's down again today with the sale getting closer to being final. Makes little sense.
