“material fact”, when used in relation to securities issued or proposed to be issued, means a fact that would reasonably be expected to have a significant effect on the market price or value of the securities;

They don't have to pre-announce next quarter results.  The LG agreement could require confidentiality and pre announcing next qtr results could breach that. Two of the analysts suggested it was a significant license given LG TV market share, it was with WiLan and another subsidiary and was to resolve litigation.  All together suggests a significant license.  In addition there ...more

If the LG deal is "material", then Hill would be guilty of insider trading.  He would lose any gains he made on the purchase, and would likely be fined for the breach.  He could also be disciplined by Quarterhill, as he violated their own policy on trading.  Is Hill that naive?  I doubt it.  They simply do not think the LG deal is material enough to stop them ...more

You could argue that the LG deal is part of Wilan's "normal operations". After all, they average a good sum each year. As such, as long as the deal itself was announced and that they aren't in a blackout period, it wouldn't be insider trading. You'd have to be naive to think that anyone that sits in high management doesn't know how the business is doing in ANY ...more

I asked, weeks ago when this canard was first floated here, what is the definition of material.  Crickets.  Now quote the TSX manual.  You could drive a truck through the definition.  The LG news release disclosed the event.  The Q1 results (in about 6 weeks) will determine the directional magnitude of the LG license.  We can then discuss how material it is.  ...more

The 13m is "unbilled revenue". I would agree with you if the 13m was described as "deferred revenue" and was on sitting the credit side of the BS. It is not.
