Restricted Share Units

All the bittching and whining yet none of you posted the RSU's value? That form of "bonus" is normal for 90% of companies and is another form of incentive to get SP higher! 

An RSU at 2.50 will get you the difference from where the SP is trading at the yearly anniversary dates!

Next year if SP is at 5 bucks each RSU will allow you 

1  to purchase said RSU awarded to you for 2.50 

Or

2  sell your RSU for 5 bucks and pocket 2.50

ONLY IF SP GOES UP DOES IT matter and this should not even be discussed because is just normal operating procedure for most companys!

It's unlikely they care Socrates. Most likely the motivation is either long-standing venom towards Wilan or feeble manipulation to pick a few shares at a lower price.

You may be confusing the RSU mechanics with those of share options. Most RSU plans award the value at that the time, in lieu of paying the CEO etc cash bonus it is paid in RSUs to align performance. Generally, there is not any future payment to be made by CEO etc. There may be vesting period.

Yoh are correctShareholders1.  RSU’s are valued when they are cashed out, and the cash out value is considered income.  It’s as if the company paid you with shares, but they are not taxed until you sell them.

When RSU's are cashed out the cash out profit would be considered a capital gain for tax purposes and 50% of the gain would be taxed as income... This is why executives prefer RSU's vs Salary

Brian i was just clarifying RSU taxation implications for those investors that (mis)understand executives compensation  and might try to imply skulduggery where there probably isn't any.

No sir, I'm afraid you are mistaken.  When RSU"s are issued they are in effect free shares without any tax at time of issue.  When they are cashed (after vesting) the complete value is reported on a T4 box 14 as employment income.  This is done when the RSU's are cashed out.  The reason executives prefer this is the tax deferment, and the fact that the RSU's ...more

I participated through my last employer in an RSU rewards program for 6 years and the way I explained is the way it was! Could have more rules? Regardless of what you think of RSU's they only work if the valuation ie. SP goes up! I made out very well with mine!

Just tell me the name of the company you worked for, and I will tell you what type of award you received.  Likely some type of Restricted Stock Award or a Stock Option Award, but definately NOT restricted stock units.  RSU's are exactly as I described, and you are issued a T4 with tax code 38 for all stock options that vest, on the vesting date, for the value when they vest.

Maybe meaningless to you, not to me.  Relates directly to how much compensation these non performers are receiving.  Why do you think they changed their stock incentive plan?  Because millions of the previously awarded stock options were expiring worthless because the share price was not rising. So the non performers were not getting enough bonus money.  .  So they switch ...more

These guys aren't stupid Skippen had a juicy deal at the beginning when he would get a percentage of gross revenue , once the deals started slowing down his comp was switched.

That's a very old canard.  Check the numbers Barney.  I think it shows that Skippen is a million dollars underwater.  Many, including me, are dissapointed with the results, particularily on the acquisition front.  I still think the comp plan is solid and I am expecting very different results in 2021.  You will have the opportunity to ask questions at the  ...more

Cabbie Skippens comp plan was changed years before Parker made his brief appearance. The fact of the matter is Quarterhill is still a show me company after how many decades!

You'll have an opportunity to ask questions regarding the comp plan at the AGM halffull.  I'll be listenting and possibly asking questions as well.  Idon't have questions onthe comp plan, as I view it as solid.  I do have questions on acquisition strategy tho. Time to step out from behind the keyboard.

They only appear to take questions from analysts.  Only time I was able to ask a question is when I went to an annual meeting in person.......They don't care about the average shareholders.....HRA

You are absolutely correct.  On several occasions I have attempted to ask questions, but were always ignored.  They take questions from analysts who are supporters of QTRH.   Safe from critics.

Halfull No they are NOT FREE SHARES! Since there is a min. 1 year delay the strike price ie. Issued price could be above the market price at the time of maturity, in which case you would gain nothing by exercising them!  To buy them would cost you and since there is no positive differential in price it can not be cashed in!
