INSIDER HOLDINGS
Many of the board of directors seem to have been buying shares in the open market and have reasonable holdings that they have accumulated over the past couple of years. From what I can see they contol at least 70,000 shares which you know will be voted in favour of this offer. It is possible, that they intended to try to acquire as much as possible on the open market but it is so thinly traded that this stategy would likely have taken years, hence the take over bid.
Michael Erdman held 35,000 personally at the end of March 2005.
The shares were purchased at average prices ranging from $0.62 to $0.70 range. He also purchased a small amount over $1.00 when they first started trading.
A Holding company which he (Michael Erdman) controls Kalan Financial held 4000 shares at the end of March 2005 which were all purchased at $0.60
Michael Levine held 20,000 personally around mid June 2005. The shares were purchased at prices ranging from $0.74 to $0.75.
Matthew Ross held 7,500 shares personally at the end of May 2005. The shares were all purchased at $0.52.
No other insiders including Michael Thornton seem to hold any any shares.

Use this link then do a search for Insiders of HLD and you will get the same results.
