PRIVATE PLACEMENT OF UP TO $300,000

Letho Resources Corp. (formerly Touchdown Resources Inc.) will proceed to a non-brokered private placement of up to 2,307,693 common shares at 13 cents per share on a best efforts basis, for gross proceeds of up to $300,000.

Proceeds of the private placement will be for general working capital purposes and potential property ventures that meet the criteria of the exchange. Finders' fees may be payable subject to TSX Venture Exchange guidelines.
