Sirona Board has 5 members, 3 of which are NOT independent so they can out-vote the other 2 members on all issues.

Is a corporate lawyer that has earned and continues to earn money considered independant if on the BofD and free of conflicting interests? Hmmmmm??

What about this one? Audit Committees (a) The board of Directors of an Issuer, after each annual securityholders’ meeting, must appoint or re-appoint its audit committee. (b) An Issuer must have an audit committee comprised of at least three Directors, the majority of whom are not Officers, employees or Control Persons of the Issuer or any of its Associates or Affiliates. Hmmmmmm??
