Theta Gold Mines Limited is an Australia-based gold exploration and development company. The Company holds a range of prospective gold assets through its subsidiary, Transvaal Gold Mining Estate Ltd (TGME), in a South African gold mining region. TGME Project phase one consists of four existing mines, including Beta, Frankfort, CDM and the Rietfontein mine. The Project is located next to the historical gold mining town of Pilgrim’s Rest, in the Mpumalanga Province, some 370km northeast of Johannesburg or 95km north of Nelspruit (the Provincial Capital City) and includes more than 43 historical mines identified across the prospective gold field of 620 square kilometers (62,000 hectares). Beta Mine is a producing mine in the Pilgrim’s Rest area. Rietfontein quartz reef is near vertical, sitting in a 16 km long structure which has been mined and partly drilled over 3.5km. The Glynns Mine is located near the town of Sabie in northeast South Africa. Its subsidiary is Theta Gold SA (Pty) Ltd.

RE:RE:RE:Are they desparate for cash??I think this is why only $70,000 was "raised".  Provides some cash until merger is completed, when they can tell the story and (hopefully) do a raise on the consolidated play.  Effectively, the if the lender actually excercises the warrants (likely), it's like a very small PP at $.115 (i.e. amount of loan not paid back).  If they don't excercise the warrant, then a loan at 10% is pretty cheap money with where Prime is at right now ... the interest is irrelevant in terms of $$.

Selling $70,000 of equity now (via the warrants) is a good thing in my mind (assuming they need a little cushion for operations)... glad they didn't raise more at these prices that's for sure !
