Question on binding agreement

I see if we back out of the deal we pay a $2 million break fee. Is this the same for B2Gold or can they back out without consequence?

Anyone have any insight?

Either way (BTO or VTR back out), not good for current VTR shareholders..... the sp will tank like a rock back to $0.20s..... But I dont think it will happen unless the institutional shareholders who hold 50% of VTR organize a revolt towards the deal as they see VTR should be valued more than the $63m BTO offered.... a "takeout for pennies" as the article said "...
