(NYSE: ALSN), announced today that in connection with the previously announced public offering of 35,000,000 shares of common stock by investment funds affiliated with The Carlyle Group and Onex Corporation (the "Sponsors"), the underwriter has exercised its option to purchase an additional 5,250,000 shares from the Sponsors at an offering price of $29.95 per share, the same as the price at which the 35,000,000 shares of common stock were sold to the underwriter. Allison is not selling any shares of common stock in the offering and will not receive any of the proceeds from the offering of shares by the Sponsors. Closing of the offering is expected to occur on or about June 12, 2014, subject to customary closing conditions.
