TORONTO, Nov. 20, 2014 /CNW/ - Aston Hill Capital Markets Inc. ("Aston Hill") as manager of North American Financials Capital Securities Trust (the "Fund") announced today that the final condition required to extend the term of the Fund for an additional five years to November 30, 2019 (the "Extension") has been met. Holders ("Unitholders") of the Fund's units (the "Units") previously approved the Extension subject to the condition that Unitholders of at least 748,000 Class A Units must retain their Units and not redeem them on December 1, 2014, pursuant to the additional special redemption right established as part of the Extension. Unitholders continuing their investment in the Fund will enjoy the benefit of quarterly distributions and the potential for capital appreciation of the Fund's investment portfolio.
As disclosed in the Fund's proxy circular, as part of the Extension the forward purchase and sale agreement will be terminated and the Fund will hold its portfolio directly. As a result of such termination, the Fund will realize a capital gain and has therefore declared a special capital gains distribution to Unitholders of record on December 1, 2014. The special distribution will be comprised of $2.5888 per Class A Unit ($2.8051 per Class F Unit) which will be paid in additional Units (to be consolidated back to the original number of Units of the Fund, resulting in Unitholders incurring a non-cash capital gain equal to the non-cash portion of the distribution amount with a matching increase in their adjusted cost base per Unit) and $0.7820 per Class A Unit ($0.8474 per Class F Unit) in cash to offset the estimated tax liability of Unitholders resulting from such distribution. The cash portion of the distribution will be paid on or about December 15, 2014.
Completion of all matters relating to the Extension will occur on or about December 1, 2014.
