TORONTO, ONTARIO--(Marketwired - May 29, 2015) - In accordance with regulatory requirements, Dundee Corporation (TSX:DC.A) ("Dundee") announces the acquisition of 103,709,087 shares (the "Shares") in the capital of the AgriMarine Holdings Inc. (the "Company"), representing 100% of the issued and outstanding shares of the Company. Dundee acquired the Shares pursuant to an amalgamation (the "Amalgamation") of AgriMarine Holdings Inc. ("AgriMarine") and a wholly-owned subsidiary ("Newco") of Dundee Agricultural Corporation ("DAC"), a wholly-owned subsidiary of Dundee.
On May 21, 2015, AgriMarine completed the Amalgamation with Newco pursuant to an amalgamation agreement dated April 2, 2015 (the "Agreement") to complete a going private transaction. The Company is the successor corporation resulting from the Amalgamation. Under the Agreement, each common share of AgriMarine owned by shareholders other than DAC, Dundee and affiliates of Dundee, was converted into one redeemable preference share of the Company. Each redeemable preference share was then redeemed by the Company on May 22, 2015 for C$0.03 in cash; each common share of AgriMarine owned by DAC, Dundee and affiliates of Dundee was converted into one common share of the Company; and each common share of Newco was converted into one common share of the Company. As a result, upon completion of the Amalgamation and the subsequent redemption by the Company of the outstanding redeemable preference shares, the Company became a private, wholly-owned subsidiary of Dundee.
