QUÉBEC, Dec. 14, 2015 /CNW Telbec/ - Opsens Inc. (the "Corporation" or "Opsens") (TSXV: OPS) (OTCQX: OPSSF) is pleased to announce that it has obtained a receipt for its final short form prospectus (the "Prospectus") for its offering of up to a maximum of 5,681,819 units of the Corporation (the "Units") at a price of $0.88 per Unit for aggregate gross proceeds of up to approximately $5,000,000 (the "Offering"). The Offering is being conducted on a best effort basis through Paradigm Capital Inc. ("Paradigm"), acting as lead agent, and including RBC Capital Markets and M Partners Inc. (collectively with Paradigm, the "Agents").

Each Unit consists of one common share in the capital of Opsens and one-half of one common share purchase warrant, with each whole common share purchase warrant entitling the holder thereof to purchase one common share at a price of $1.20 within 18 months from the initial closing date of the Offering.

The Corporation has also agreed to grant the Agents an option to cover over-allotments and for market stabilization purposes (the "Over Allotment Option"), which will allow the Agents to arrange for purchasers to acquire up to 15% of the number of Units sold under the Offering. The Over Allotment Option will be exercisable, in whole or in part, at any time up to 30 days after the closing of the Offering.

The Corporation intends to use the net proceeds of the Offering to prepare the commercialization and marketing strategy of its Fractional Flow Reserve products, to fund research and product development and to fund its working capital.

The Offering is being made pursuant to the Prospectus which has been filed in each of the provinces of Québec, Ontario, Alberta and British Columbia. A copy of the Prospectus is available on SEDAR at www.sedar.com.

The Offering is expected to close on or about December 22, 2015 and is subject to certain customary closing conditions. The TSX Venture Exchange has conditionally approved the listing of the common shares to be issued pursuant to the Prospectus.
