MetLife, Inc. (NYSE: MET) today announced that its board of directors
has adopted an amendment to the company’s bylaws that would allow
shareholders owning 25 percent or more of the company’s common stock to
call a special meeting of shareholders, subject to certain customary
conditions. The board proactively adopted this amendment as part of its
ongoing commitment to corporate governance best practices.
Under the amendment, a shareholder or group of shareholders owning 25
percent or more of the outstanding shares of common stock may request in
writing a special meeting. Any such request for a special meeting shall
state the purpose or purposes of the proposed meeting.
