NOTIFICATION OF TRANSFER OF SHARES OUT OF TREASURY

Wolseley plc (the "Company") wishes to announce that on 5 August 2016, it transferred 3,459 ordinary shares of the Company of 10 ⁵³/₆₆ pence each held by the Company in treasury ("Treasury Shares") to employees of the Wolseley Group in satisfaction of options and awards under the Company's Employees Savings Related Share Option Scheme 1981, Employees Savings Related Share Option Scheme 2010 and the Wolseley Group International Sharesave Plan 2011.  The exercise price of each share under option was between 701 pence and 3,253 pence.

As a consequence of that transfer, the Company now holds 14,255,817 Treasury Shares and its issued share capital (excluding Treasury Shares) is 252,380,289. 

The total voting rights figure (of 252,380,289) may be used by shareholders as the denominator for the calculations by which they can determine if they are required to notify their interest in, or a change to their interest in, the Company under the Financial Conduct Authority's Disclosure and Transparency Rules.
