VANCOUVER, BRITISH COLUMBIA--(Marketwired - Aug. 24, 2016) - Edgewater Exploration Ltd.
("Edgewater" or the "Company") (TSX VENTURE:EDW) is pleased to announce a non-brokered
private placement financing of 20,000,000 units (the "Units") at a price of $0.025 per Unit to raise gross
proceeds of $500,000 (the "Private Placement").
Each Unit will consist of one common share and one common share purchase warrant. Each warrant will entitle the holder to
acquire an additional common share for $0.05, on a pre-Consolidation basis (as defined below), for a period of five years from
the date of closing of the Private Placement. Proceeds of the financing will be used for general working capital. It is
anticipated that Edgewater's management and board of directors will acquire 11,200,000 Units in the Private Placement
(approximately 56% of the total Private Placement).
In addition, the Company also wishes to announce that, subject to the regulatory approval, it intends to consolidate its
outstanding common shares on the basis of four (4) existing common shares for one (1) new common share (the
"Consolidation"). The Company intends to call a special meeting of its shareholders within the next six
months in order to seek shareholder approval of the Consolidation.
All securities issued in the Private Placement will be subject to a hold period of four months following the distribution
date, under applicable Canadian securities legislation. Completion of the Private Placement remains subject to approval of the
TSX Venture Exchange.
