DULUTH, Ga., March 14, 2018 (GLOBE NEWSWIRE) -- National Vision Holdings, Inc. (NASDAQ:EYE) (“National Vision”)
today announced the pricing of the previously announced underwritten secondary offering by certain of its stockholders (the
“Selling Stockholders”), including affiliates of Kohlberg Kravis Roberts & Co. L.P. and private equity funds managed by Berkshire
Partners LLC, of 12,000,000 shares of common stock of National Vision pursuant to a registration statement filed by National Vision
with the U.S. Securities and Exchange Commission (the “SEC”), at the public offering price of $33.00 per share. The Selling
Stockholders have granted the underwriters a 30-day option to purchase up to an additional 1,800,000 shares. No shares are being
sold by National Vision. The Selling Stockholders will receive all of the proceeds from this offering. The offering is expected to
close on March 19, 2018, subject to customary closing conditions.
BofA Merrill Lynch, Citigroup, Goldman Sachs & Co. LLC, Jefferies and KKR Capital Markets are acting as joint bookrunning
managers for the offering, and Morgan Stanley, UBS Investment Bank and Wells Fargo Securities are also acting as bookrunners for
the offering. Guggenheim Securities, Mizuho Securities and Macquarie Capital are acting as co-managers for the offering.
