Olin Announces Pricing Of Private Offering Of Senior Notes

CLAYTON, Mo., May 14, 2020 /PRNewswire/ -- Olin Corporation (NYSE: OLN) announced today the pricing of its previously announced private offering (the "Offering") of $500 million aggregate principal amount of 9.500% senior notes due 2025 (the "Senior Notes"). The initial offering price to investors will be 99.500% of the principal amount thereof. Olin expects to use the net proceeds of the Offering to fund general corporate purposes. The closing of the Offering is expected to occur on May 19, 2020, subject to customary closing conditions.

The Senior Notes are being offered in a private offering exempt from the registration requirements of the Securities Act of 1933, as amended (the "Securities Act"). The Senior Notes are being offered only to persons reasonably believed to be qualified institutional buyers pursuant to Rule 144A under the Securities Act and to non-U.S. persons outside the United States in reliance on Regulation S under the Securities Act.
