DIVIDEND DECLARATIONS

Ares Capital Corporation (“Ares Capital”) (NASDAQ: ARCC) announced that its Board of Directors has declared a fourth quarter dividend of $0.41 per share. The fourth quarter dividend is payable on December 30, 2021 to stockholders of record as of December 15, 2021.

In the third quarter of 2021, Ares Capital made $3.1 billion in new investment commitments, of which $2.2 billion were funded, including 22 new portfolio companies and 25 existing portfolio companies. As of September 30, 2021, 188 separate private equity sponsors were represented in Ares Capital’s portfolio. Of the $3.1 billion in new commitments made during the third quarter of 2021, 76% were in first lien senior secured loans, 4% were in second lien senior secured loans, 3% were in subordinated certificates of the Senior Direct Lending Program, LLC (the “SDLP”), 8% were in senior subordinated loans, 6% were in preferred equity and 3% were in other equity. Of these commitments, 90% were in floating rate debt securities, of which 96% contained interest rate floors and 3% were in the subordinated certificates of the SDLP. Ares Capital may seek to sell all or a portion of these new investment commitments, although there can be no assurance that Ares Capital will be able to do so. Also in the third quarter of 2021, Ares Capital funded $305 million related to previously existing unfunded revolving and delayed draw loan commitments.

Also in the third quarter of 2021, Ares Capital exited approximately $2.3 billion of investment commitments, including $201 million of loans sold to Ivy Hill Asset Management L.P. (“IHAM”) or certain vehicles managed by IHAM. Of the total investment commitments exited, 72% were first lien senior secured loans, 11% were second lien senior secured loans, 5% were subordinated certificates of the SDLP, 5% were senior subordinated loans, 6% were preferred equity and 1% were other equity. Of the approximately $2.3 billion of exited investment commitments, 91% were floating rate, 5% were on non-accrual, 2% were fixed rate and 2% were non-income producing.

As of September 30, 2021 and December 31, 2020, the weighted average grade of the portfolio at fair value was 3.0 and 3.0, respectively, and loans on non-accrual status represented 1.7% of total investments at amortized cost (or 1.0% at fair value) and 3.3% at amortized cost (or 2.0% at fair value), respectively. LIQUIDITY AND CAPITAL RESOURCES

As of September 30, 2021, Ares Capital had $1.2 billion in cash and cash equivalents and $9.9 billion in total aggregate principal amount of debt outstanding ($9.9 billion at carrying value). Subject to borrowing base and other restrictions, Ares Capital had approximately $5.1 billion available for additional borrowings under its existing credit facilities as of September 30, 2021.

In August 2021, Ares Capital issued an additional $400 million in aggregate principal amount of its existing unsecured notes that mature on June 15, 2028 and bear interest at a rate of 2.875% per annum (the ‘‘Additional 2028 Notes’’). These notes were issued at a premium that resulted in an effective yield of approximately 2.44% for the Additional 2028 Notes. With the issuance of the Additional 2028 Notes, the aggregate principal amount of the 2028 Notes was $1.25 billion.

In August 2021, Ares Capital completed a public equity offering pursuant to which Ares Capital sold 12.5 million shares of common stock at a price of $19.67 per share to the participating underwriters, with net proceeds totaling $245 million, after giving effect to estimated offering expenses. In addition, during the three months ended September 30, 2021, Ares Capital issued and sold approximately 2.9 million shares of common stock under the existing equity distribution agreements, with net proceeds totaling $58.0 million, after giving effect to sales agents’ commissions and certain offering expenses of approximately $0.9 million.

THIRD QUARTER 2021 DIVIDEND PAID

On July 28, 2021, Ares Capital declared a third quarter 2021 dividend of $0.41 per share for a total of approximately $189 million. The third quarter dividend was paid on September 30, 2021 to stockholders of record as of September 15, 2021.

RECENT DEVELOPMENTS

In October 2021, Ares Capital’s board of directors authorized Ares Capital to (a) enter into an equity distribution agreement with an additional sales agent and (b) amend and restate Ares Capital’s existing equity distribution agreements with each of Truist Securities, Inc. and Regions Securities LLC, in each case, to provide that Ares Capital may from time to time issue and sell shares of common stock by means of “at the market” offerings having an aggregate offering price of up to $500 million through such sales agents. There can be no assurance that Ares Capital will issue a specific amount of shares of its common stock, if any, through these “at the market” offerings.

From October 1, 2021 through October 20, 2021, Ares Capital made new investment commitments of approximately $1.5 billion, of which $1.3 billion were funded. Of these new commitments, 48% were in first lien senior secured loans, 30% were in second lien senior secured loans, 14% were in preferred equity and 8% were in other equity. Of the approximately $1.5 billion of new investment commitments, 82% were floating rate, 10% were fixed rate and 8% were non-income producing. The weighted average yield of debt and other income producing securities funded during the period at amortized cost was 7.5% and the weighted average yield on total investments funded during the period at amortized cost was 6.9%. Ares Capital may seek to sell all or a portion of these new investment commitments, although there can be no assurance that it will be able to do so.

From October 1, 2021 through October 20, 2021, Ares Capital exited approximately $415 million of investment commitments. Of the total investment commitments exited, 63% were first lien senior secured loans, 33% were second lien senior secured loans and 4% were subordinated certificates of the SDLP. All of the approximately $415 million of exited investment commitments were floating rate. The weighted average yield of debt and other income producing securities exited or repaid during the period at amortized cost was 8.1% and the weighted average yield on total investments exited or repaid during the period at amortized cost was 8.1%. On the approximately $415 million of investment commitments exited from October 1, 2021 through October 20, 2021, Ares Capital recognized total net realized gains of approximately $5 million.

In addition, as of October 20, 2021, Ares Capital had an investment backlog and pipeline of approximately $1.9 billion and $149 million, respectively. Investment backlog includes transactions approved by Ares Capital’s investment adviser’s investment committee and/or for which a formal mandate, letter of intent or a signed commitment have been issued, and therefore Ares Capital believes are likely to close. Investment pipeline includes transactions where due diligence and analysis are in process, but no formal mandate, letter of intent or signed commitment have been issued. The consummation of any of the investments in this backlog and pipeline depends upon, among other things, one or more of the following: satisfactory completion of Ares Capital due diligence investigation of the prospective portfolio company, Ares Capital’s acceptance of the terms and structure of such investment and the execution and delivery of satisfactory transaction documentation. In addition, Ares Capital may sell all or a portion of these investments and certain of these investments may result in the repayment of existing investments. Ares Capital cannot assure you that it will make any of these investments or that Ares Capital will sell all or any portion of these investments.
