Ademi LLP alleges Atlas' financial outlook and prospects are excellent and yet Atlas shareholders will receive only $12.25 per share in an all-cash transaction valued at approximately $1.05 billion, including outstanding debt. The transaction agreement unreasonably limits competing bids for Atlas by imposing a significant penalty if Atlas accepts a superior bid.
